Activist stake follow-up

Use when a new Schedule 13D lands and an analyst, investor relations team or banker needs to know what the activist wants and how it usually plays out. Reads the filing's purpose, profiles the activist from its letters and other holdings, benchmarks the target's valuation, and checks for deal chatter, producing a campaign brief.

# Activist stake follow-up

For one new 13D, or a sweep of the last 30 days. Since 2025 EDGAR types these as `SCHEDULE 13D`, not `SC 13D`; the old code returns nothing.

## 1. The filing

1. Search @[SEC · Search](alexandria:sec-gov/filings/search) (forms ["SCHEDULE 13D"], from 30 days back, query a phrase such as "board representation" to keep activist intent). Each hit names the target and the filer; carry the accession number. Set both `from` and `to`: the search ignores `from` on its own.
2. Open it with @[SEC · Filing](alexandria:sec-gov/filings/filing) (accession_number) and read Item 4, purpose of the transaction, for the demands, plus the stake size.

## 2. Who the activist is

3. Find the filer in @[Fiscal.ai · Fund letter investors](alexandria:fiscal-ai/fund-letters/investors), then read @[Fiscal.ai · Investor profile](alexandria:fiscal-ai/fund-letters/investor) (investorId) for its style and past theses.
4. List its other positions with @[SEC · Holdings 13f](alexandria:sec-gov/filings/holdings_13f) (name the filer) to see concentration and sector habit.

## 3. The target

5. Read @[Fiscal.ai · Ratios by period](alexandria:fiscal-ai/ratios/series) (ticker, periodType annual) for valuation and margins versus the target's own history; a discount plus a margin gap usually means an operational or sale campaign.
6. Check @[Benzinga · Mergers and acquisitions](alexandria:benzinga/calendar/mergers-acquisitions) (parameters[tickers]) and @[Benzinga · News search](alexandria:benzinga/news/search) (tickers, dateFrom 90 days back) for deal chatter.

## Write the campaign brief

- **Demands:** quoted from Item 4, with stake size and date.
- **Activist profile:** style, typical demands, concentration.
- **Target gaps:** valuation and margin versus history.
- **Likely path:** settlement, proxy fight or sale process, with reasoning.
- **Sources:** cite every figure to the capability and record it came from. Say what could not be found rather than guessing.
